Legal Counsel Asset Management

The Position

The legal counsel:
  • provides legal advice and support to Fiduciary Management, Investment Management, Control and Risk Management staff of DPS and the members of the boards of PDN and SPF;
  • ensures full compliance of DPS, PDN and SPF with all applicable laws and regulations with a clear focus on investment management;
  • makes sure that ongoing compliance is reached with changes in local and international laws and regulations including, but not limited to Pensioenwet, Wet financieel toezicht, MIFID and EMIR;
  • understands and interprets relevant laws and regulations in the field of investment management and is able to identify gaps in the current policies, processes and documentation of DPS, PDN and SPF and is able to propose concise and workable solutions to ensure full compliance;
  • possesses the ability to reduce long and complex narratives into concise, accurate, consistent summaries that are understandable to DPS staff and members of the boards of PDN and SPF;
  • draws, reviews and advices on contracts, agreements and amendments to formal legal documentation with a focus on contracts in the field of investment management;
  • writes, edits, and finalises reports, opinions, correspondence, articles, and other documents that require a legal review. Additionally, the Legal Counsel makes sure contracts and agreements comply with laws and regulations and are, from a legal point of view, actual and fully compliant with relevant laws and regulations and are in the best interest of DPS, PDN or SPF.

    The Legal Counsel is (in an advisory role) involved in projects and is involved in legal projects as project coordinator by providing proper management of projects, including effective liaison with relevant staff of DPS or members of the boards of PDN and SPF.

    The legal counsel will be based in Heerlen and will report operationally to the Managing director.

Your Profile

  • Master degree in law.
  • At least five to ten years of experience in a law firm specializing in investment management advice and/or in a financial company, with a focus on investment management laws and regulations.
  • Degree in investment management (CFA, RBA, CAIA) is highly recommended.
  • Excellent knowledge and understanding of financial law and procedures. Deep insight in the workings of financial products and investment structures.
  • Demonstrated ability to work with other counsel and with business people to mitigate risks and achieve the objectives in a timely manner.
  • Familiarity with market practices and the criteria used to evaluate and implement financing transactions. Business and process knowledge of investment management.
  • Demonstrated ability to assess and advise on legal, structural and related risks and to articulate and implement appropriate mitigating controls in deal documentation with a high degree of precision and accuracy.
  • Able to work with minimal supervision in a highly accurate, timely and prudent manner.
  • Hands-on and proactive attitude with a strong drive to support change.
  • Sound judgement and ability to analyze situations and information.
  • Affluent in English, both in speaking and writing. Outstanding communication skills.
  • Experience in writing, validating and modifying technical and functional specifications. Proven ability to translate legislation and regulatory changes into pragmatic solutions.
