Our Client

The Legal Department of the Nederlandse Financierings-Maatschappij voor Ontwikkelingslanden N.V. (FMO) is searching for a Senior Legal Counsel Capital Markets.FMO's Legal Department consists of the Director Legal Department, team Finance, team Structured Finance, legal assistants and the secretaries. The legal department at FMO deals with approximately 190 transactions a year in a large number of countries and plays an important role in FMO's activities. Each of team Finance and team Structured Finance is supervised by a manager/counsel who also executes transactions. We are looking to expand the team Structured Finance, which currently consists of five lawyers, with a fulltime Senior Legal Counsel.

The Position

The Senior Legal Counsel has a transactional and advisory role and negotiates and reviews various finance documents in cooperation with external international and local legal advisors. Responsibilities include: review, negotiation and implementation of finance and private equity fund documents documentation including; (i) syndicated and bilateral credit facility agreements, (ii) FMO's own debt capital markets programmes, (iii) ISDA schedules, swap confirmations and CSAs (iv) regularly updating offering documents and agreements of FMO's debt capital market programmes; and (v) reviewing and negotiating private equity fund documents such as limited partnership agreements and shareholders agreements. Occasionally the Senior Legal Counsel has to draft documentation himself.The nature of the work is highly transactional and international. The Senior Legal Counsel will report to the manager of the team Structured Finance. Furthermore, the Senior Legal Counsel will participate in deal teams and advise in the structuring of deals. While protecting FMO's interests and operating within the internal procedures, he or she will negotiate, manage and close these deals. The Senior Legal Counsel will also be a legal sparring partner for commercial colleagues, clients and lawyers.

The Profile

• A master's law degree in Dutch law (or a comparable foreign law degree).
• Knowledge of capital markets and/or private equity funds is required. Knowledge of English law and the laws of the State of New York is an advantage. General corporate and banking expertise will be helpful.
• As of approximately 8 years of relevant transactional experience in 'capital markets' and/or 'private equity funds', within a financial institution and/or (international) law firm.
• Fluent in the English language, both verbally and in writing.
• A team player with an international attitude, down to earth, pragmatic, pro-active and result-oriented with considerable project management and social skills.
